IRVINGTON, N.Y.—-Prestige Brands Holdings, Inc. announced today that its wholly-owned subsidiary Prestige Brands, Inc. had commenced a cash tender offer and consent solicitation for any and all of its $126 million outstanding aggregate principal amount of 9 1/4% Senior Subordinated Notes due 2012 .
